Terms and Conditions

CAGED BIRD HR LLC TERMS & CONDITIONS FOR REFERRALS   These terms and conditions (“Terms”) constitute a legally binding agreement made between you, whether personally, jointly, or on behalf of an entity (“you””) and Caged Bird HR, LLC (the "Company" “we,” “us” or “our”), concerning your referrals of potential clients for our services. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms but you waive any right to receive specific notice of each such change.


You hereby agree to the following:

  1. You may at your sole discretion from time to time, refer potential clients to the Company (a "Referral”). The Company may decline or reject a Referral for any reason, and in the event it does so, Company shall have no obligation to you or the Referral.


  1. The Company shall pay you $10 for each successful Referral, where a successful Referral is defined as a Referral that meets all of the following criteria; (a) the Referral books a consultation with the Company and (b) the consultation actually takes place within 5 business days from the date when it was originally booked. A Referral shall not be deemed successful if a scheduled consultation is canceled or rescheduled more than 5 business days from the originally scheduled appointment. The Company agrees to a $10 discount off its services for a successful Referral that you send if the above criteria are satisfied.


  1. For each successful referral as defined in Section 2, you shall be paid $10. You will have the choice of receiving your $10 by either (a) a gift card paid via a 3rd party processer or (b) a donation to the charity of your choice via a 3rd party processer.  

  1. Your total referral fees you in a calendar year shall not exceed $500. You agree that Company modify this Section at any time in its sole discretion.  

  1. In the course of sending Referrals to the Company, you agree not to engage in any type of wrongful activity, including but not limited to spamming, using viruses, trojan horses, or any activity that disparage, tarnish, or otherwise (in our opinion) harm the Company or its reputation.  

  1. You agree not to disparage or defame the Company, its officers, directors, products, or services in any way, or in any medium, including but not limited to in print, video, audio, or on online via blogs, websites, social media, and mobile applications. Nothing in this Section shall prevent you from making truthful statements in a legal proceeding.

  2.  Our liability in connection with any Referral or these Terms shall at all times be limited to the lesser of (a) the amount you have been paid in Referral fees as described in Section 2 and 3 or (b)$500.  

  3. To the fullest extent permitted by law, (a) no legal action in connection with these Terms shall be joined with any other proceeding; (b) there is no right or authority for any dispute in connection with these Terms to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any dispute in connection with these Terms to be brought in a purported representative capacity on behalf of the general public or any other persons.  

  4. These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.


  5. If any portion of these Terms is deemed unenforceable by a court of competent jurisdiction, such portion shall be stricken or reformed accordingly, and the remainder of the Terms shall be valid.
